This announcement, Tender Offer Memorandum and any other documents or materials relating to the Offer are only addressed to and are only directed at qualified investors within the meaning of the Prospectus Regulation in France. The acceptance of any tender shall not be deemed to be a representation or a warranty by any of the Offeror, the Dealer Manager or the Information and Tender Agent or any of their respective directors, officers, employees, agents or affiliates that it has undertaken any such investigation and/or that any such representation to any person underwriting any such Notes is correct. Accordingly this announcement and the Tender Offer Memorandum, as well as any brochure, or any other material or document relating thereto (including any memorandum, information circular, brochure or any similar document) may not, have not and will not be distributed, directly or indirectly, to any person located and/or resident within Belgium, other than those who qualify as qualified investors (investisseurs qualifiés/qekwalificeerde beleggers), within the meaning of Article 2, e), of the Prospectus Regulation acting on their own account. King (the "Information and Tender Agent") has been appointed by the Offeror to act as the information and tender agent in connection with the Offer. Tenders of Notes for purchase may be rejected in the sole discretion of the Offeror for any reason and the Offeror is not under any obligation to Noteholders to furnish any reason or justification for refusing to accept a tender of Notes for purchase. have been appointed by the Offeror to serve as dealer managers (the "Dealer Managers") for the Offer. As described in the Tender Offer Memorandum, Notes repurchased following completion of the Offer may only be cancelled by the Offeror on or after 1 October 2024. Any determination by the Offeror concerning the conditions set forth above (including whether or not any such condition has been satisfied or waived) will be final and binding upon the Noteholders, the Information and Tender Agent and all other persons. Even if the New Financing Condition is satisfied, the Offeror is not under any obligation to accept for purchase any Notes tendered pursuant to the Offer. The Offeror will pay for the Notes accepted by it for purchase pursuant to the Offer, a purchase price equal to U.S.$92.25 per U.S.$100 in principal amount of such Notes and will also pay the Accrued Interest Payment in respect of such Notes. The Offeror is not under any obligation to accept any tender of Notes for purchase pursuant to the Offer. The Offer expired at the Expiration Deadline, and no further Notes may be tendered for purchase pursuant to the Offer.

He said Barbados was happy to have hosted the meeting, and disclosed that attorney-at-law, Liesel Weekes, was elected as Chair of the Council of Legal Education.

But I maintain that we in the Caribbean, the New World, are a resilient, proud and creative people. The challenge is for us to face not only the facts of history, but the truth of who we are now in this present moment. We must help to carve out for our country and ourselves a new way of being. Fast forward to these contemporary times and the interesting dichotomy that occurs for those of us who were living in that era. What kind of mental and psychological manoeuvrings may now be employed in order to change, not only what we of a certain era were taught, but what we also enjoyed and appreciated? We also understood that the queen and her visit to Barbados were to be held in great awe and reverence.

Since the death of Queen Elizabeth, I was uncertain how to publicly respond. I believe all Barbadians are similarly uncertain.

Instead of the promised referendum, we were subject to a campaign to get Barbadians to hate the Queen. However, all Barbadians know, and the Attorney General of Barbados has specifically acknowledged [4], that none of the political parties that participated in the 2018 General Election campaigned on Republicanism. She stated that becoming a Republic was “a matter for the government and people of Barbados”. On 15th September 2020 in our Parliament, the Government stated that Barbados would “become a Republic by the time we celebrate our 55th Anniversary of Independence.” [1] The Queen’s response was immediate. Then we were informed that they had removed the Queen from being our Head of State, and we must all fall in line. All our elected representatives and appointed senators swore before God, on the damnation of their eternal souls, to be faithful to the Queen.
